Article 1 - Definitions and applicability
1.1 In these terms and conditions: Cobalt Box means COBALT BOX NL B.V., with its registered office in Terneuzen, registered in the Trade Register under number 99835010, with offices at Techniekstraat 2, 4538 BW Terneuzen, Netherlands; Customer means any natural person or legal entity entering into an Agreement with Cobalt Box; Consumer means a Customer acting outside their trade or profession; Business Customer means any other Customer; Storage Space means the storage unit made available by Cobalt Box; Facility means the premises and building in which the Storage Space is located; Goods means all items brought into the Storage Space or Facility by or on behalf of the Customer; Agreement means the self-storage agreement, including the booking form, these terms and conditions and any written supplements.
1.2 These terms and conditions apply to all offers, bookings, Agreements and services of Cobalt Box relating to self-storage. The Customer’s terms and conditions are rejected unless Cobalt Box accepts them in writing.
1.3 In the event of a conflict, the individually signed Agreement takes precedence, followed by these terms and conditions and then the house rules, unless mandatory law provides otherwise.
1.4 Where these terms and conditions deviate from mandatory consumer law in relation to Consumers, mandatory law prevails. Any provision applying exclusively to Business Customers is identified as such.
Article 2 - Formation of the Agreement
2.1 The Agreement is formed as soon as Cobalt Box confirms the booking in writing or electronically, or as soon as the Customer starts using the Storage Space.
2.2 The Customer provides accurate, complete and up-to-date identification, contact and payment details. Cobalt Box may require a valid identity document and, for a Business Customer, evidence of authority to represent the business.
2.3 Stated dimensions and volumes are approximate. A minor variation does not entitle the Customer to a price reduction or termination for breach, unless it makes the Storage Space reasonably unsuitable for the purpose communicated.
2.4 Before use begins, Cobalt Box may require payment, a security deposit, identification and a valid payment method.
Article 3 - Consumers’ right of withdrawal
3.1 A Consumer entering into the Agreement at a distance or off-premises may withdraw from the Agreement without giving a reason within fourteen days of the day on which it was concluded.
3.2 The Consumer exercises the right of withdrawal by an unequivocal statement by email, through the customer portal or by post. Cobalt Box confirms electronic withdrawal on a durable medium.
3.3 If the Consumer expressly requests that the service begin during the withdrawal period, a proportionate amount is payable upon withdrawal for the service already provided.
3.4 The right of withdrawal does not apply to a Business Customer or where the law provides for an exception.
Article 4 - Duration, renewal and termination by notice
4.1 The duration, start date and any minimum term are stated in the Agreement. After an agreed minimum term, the Agreement continues for an indefinite period unless otherwise agreed in writing.
4.2 After the minimum term, the Customer may terminate the Agreement subject to the notice period stated in it. If no period is stated, one month applies. A Consumer’s notice period will never exceed the period permitted by law.
4.3 Notice of termination may be given through the customer portal, by email or in writing. Notice is effective only once Cobalt Box has received it.
4.4 Payment obligations continue until the end date and the complete handover of the empty, clean and unlocked Storage Space.
Article 5 - Rent, invoicing and payment
5.1 The rent, payment period, any VAT and additional services are stated in the Agreement. Rent and fixed charges are payable in advance.
5.2 Payment is made using the agreed payment method. The Customer ensures that sufficient funds and a valid mandate or payment facility are available.
5.3 Cobalt Box may provide invoices and payment notices electronically to the most recently supplied email address or through the customer portal.
5.4 A Business Customer may not suspend, set off or reduce payment unless Cobalt Box agrees in writing. For Consumers, this applies only to the extent permitted by law.
5.5 Payments are allocated in accordance with statutory rules; for Business Customers, first to reasonable costs and interest and then to the oldest invoice due.
Article 6 - Security deposit
6.1 If agreed, the Customer pays a security deposit before use begins. Cobalt Box pays no interest on this deposit.
6.2 Cobalt Box may set off claims that are due and repair, cleaning, clearance and replacement costs against the deposit. The Customer replenishes the deposit on request.
6.3 After termination and the final inspection, the remaining amount is refunded within a reasonable period to the bank account on record.
Article 7 - Price changes
7.1 Cobalt Box may change the rent and other recurring charges. Cobalt Box informs the Customer in advance, in writing or electronically, of the new amount and effective date.
7.2 Consumers are notified of a price increase at least thirty days in advance. If the increase does not arise directly from legislation, taxation or a previously agreed objective index, the Consumer may give notice before the effective date to terminate the Agreement with effect from that date.
7.3 For Business Customers, the announced price applies from the notified effective date. Continued use after that date constitutes acceptance, without prejudice to timely termination by notice in accordance with the Agreement.
Article 8 - Non-payment, costs and debt collection
8.1 For direct debit, the amount is due on the agreed collection date. If the direct debit is refused, reversed or returned, Cobalt Box may immediately block access and charge €9.99 in processing and administration costs, to the extent permitted by law.
8.2 For a Customer who does not pay by direct debit, Cobalt Box may block access if the invoice remains unpaid in full fourteen days after its due date.
8.3 For a Business Customer, Cobalt Box may charge statutory debt collection costs (minimum €40) upon a second payment reminder. A Consumer is first sent a proper fourteen-day payment demand free of charge. If the Consumer does not pay within that period, only the statutory extrajudicial debt collection costs are payable. The statutory debt collection costs (minimum €40) are not charged separately to a Consumer or in addition to those statutory debt collection costs.
8.4 Cobalt Box charges a Consumer extrajudicial debt collection costs only after the Consumer has received a proper payment demand allowing the statutory period of fourteen days, calculated from the day after receipt of the demand. The costs are calculated according to the statutory scale: 15% of the first €2,500 of the principal amount, with a minimum of €40, followed by the applicable statutory decreasing percentages up to the statutory maximum. Separate reminder, administration or office charges are not added to these statutory debt collection costs.
8.5 A Business Customer is in default from the due date without further notice of default and owes statutory commercial interest and extrajudicial debt collection costs according to the statutory scale, with a minimum of €40, subject to mandatory law.
8.6 Blocking access does not suspend payment obligations. After receiving all amounts due, Cobalt Box restores access within a reasonable operational period.
Article 9 - Permitted use
9.1 The Storage Space may be used only for dry, passive storage of permitted Goods.
9.2 The Customer uses the Storage Space carefully, cleanly and safely and prevents nuisance, odours, leaks, dust, noise, pests, overloading and damage.
9.3 Use as living accommodation, sleeping accommodation, a workshop, a production site, a point of sale, a postal address, a business address or a registered office is prohibited unless Cobalt Box gives prior written permission otherwise.
9.4 The Customer may not sublet, share or transfer the Storage Space to a third party. Authorised third parties act at the Customer’s expense and risk.
Article 10 - Prohibited goods and activities
10.1 Prohibited items include: illegal or stolen goods; weapons, ammunition and explosives; fireworks; drugs; hazardous, toxic, radioactive, corrosive, flammable or environmentally harmful substances; gas cylinders; asbestos; waste; live animals or plants; perishable goods; goods causing odours, leaks or pests; and goods requiring a permit for which valid authorisation has not been obtained.
10.2 Cash, securities, unique documents, jewellery, precious metals, art, collectors’ items and other goods of exceptional or irreplaceable value are also prohibited unless Cobalt Box gives prior written consent and appropriate insurance has been demonstrated.
10.3 The Customer does not carry out any illegal, dangerous, nuisance-causing or commercial activity in or from the Storage Space.
10.4 In the event of a breach, Cobalt Box may take appropriate immediate measures, including blocking access, notifying the competent authorities, emergency entry and termination, to the extent permitted by law.
Article 11 - Access, codes and locks
11.1 The Customer has access during the access hours applicable to the Facility and uses only the assigned personal code, digital key or app.
11.2 Access credentials are personal and confidential. The Customer is responsible for access by persons to whom they provide a code, key, app access or permission.
11.3 The Customer properly secures the Storage Space with an approved lock or electronic lock. As a rule, Cobalt Box does not retain a key to a personal padlock.
11.4 Loss, misuse or suspected misuse must be reported immediately. For security reasons, Cobalt Box may change codes or temporarily block access.
11.5 Cobalt Box does not guarantee uninterrupted access where access is temporarily unavailable due to maintenance, a fault, security measures, force majeure or permitted blocking of access.
Article 12 - Inspection, emergency entry and access by authorities
12.1 As a rule, Cobalt Box enters the Storage Space only with permission or after prior notice.
12.2 Cobalt Box may enter without prior permission where reasonably necessary in the event of fire, leakage, danger, suspected prohibited storage, urgent maintenance work, protection of persons or property, a legal obligation or a lawful request from a competent authority.
12.3 If necessary, Cobalt Box may open, remove or replace a lock. Cobalt Box records the reason and measures taken as fully as possible and informs the Customer as soon as reasonably possible.
12.4 In the event of persistent serious breach of contract or non-payment, Cobalt Box may, after the applicable warnings and periods, open the Storage Space and inventory its contents to document the matter and exercise its rights.
Article 13 - Maintenance, works and relocation
13.1 Cobalt Box maintains the structural and common parts of the Facility. The Customer looks after the Storage Space and compensates for damage caused by them or persons they authorise.
13.2 The Customer immediately reports damage, leaks, fire hazards, defects and unsafe situations and takes reasonable measures to limit further damage.
13.3 The Customer allows necessary inspections, maintenance, renovation, repairs and security measures. Cobalt Box limits inconvenience where reasonably possible.
13.4 Cobalt Box may offer comparable Storage Space or require the Customer to relocate the Goods within a reasonable period where necessary for safety, maintenance, reorganisation or business operations.
13.5 If the Customer does not relocate the Goods in time following a reasonable request, or in an urgent situation, Cobalt Box may arrange for the Goods to be moved with due care at the Customer’s expense and risk, except to the extent that damage is attributable to Cobalt Box.
Article 14 - Insurance and risk relating to the Goods
14.1 The Goods remain at the Customer’s expense and risk. The Agreement is not a contract of safekeeping; Cobalt Box does not know the nature, condition or value of the Goods.
14.2 Throughout the Agreement, the Customer must be insured against risks including fire, water damage, theft and other relevant risks. The insurance must provide sufficient cover for the full replacement value of the Goods.
14.3 Before use begins and thereafter upon Cobalt Box’s first request, the Customer demonstrates that appropriate insurance of their own is in force. If the Customer cannot or will not provide this evidence, they must participate in the goods insurance or group cover offered by Cobalt Box and pay the applicable premium. The separate policy terms, coverage limits, excesses and exclusions apply. The Customer remains responsible for cover above the applicable limit.
14.4 The Customer reports damage immediately and follows reasonable instructions for limiting damage and handling claims.
Article 15 - Liability of Cobalt Box
15.1 Cobalt Box is liable only for direct damage resulting directly from a breach attributable to Cobalt Box.
15.2 Cobalt Box is not liable for indirect damage, consequential loss, loss of revenue or profit, lost savings, reputational damage or business interruption. In relation to a Consumer, this exclusion applies only to the extent permitted by law.
15.3 Cobalt Box is not liable for damage caused by the nature or packaging of the Goods, condensation, variations in temperature or humidity, pests, power or system failures, or acts of third parties or authorities, unless and to the extent that Cobalt Box is liable by law.
15.4 To the extent permitted by law, total liability per incident is limited to the amount paid out by the liability insurer, plus the excess. If no insurance payment is made, a maximum equal to six months’ rent for the relevant Storage Space applies to Business Customers.
15.5 No limitation applies in cases of intent or conscious recklessness on the part of Cobalt Box’s management, death or personal injury where exclusion is not permitted by law, or where mandatory law provides otherwise.
Article 16 - Liability of the Customer
16.1 The Customer is liable for damage and costs caused by them, their Goods or persons to whom they grant access.
16.2 The Customer indemnifies Cobalt Box against third-party claims relating to the ownership, possession, storage, transport or use of the Goods, except to the extent that the claim is caused by Cobalt Box and cannot lawfully be excluded.
16.3 The Customer reimburses reasonable costs of repairs, cleaning, pest control, security, the fire brigade, authorities, opening or replacing locks and removal that are made necessary by their breach.
Article 17 - Non-compliance and measures
17.1 In the event of non-compliance, depending on the seriousness and urgency, Cobalt Box may demand performance, suspend access, request additional security, have prohibited Goods removed, take measures to limit damage, terminate the Agreement and recover damages and costs.
17.2 Where a breach can be remedied, Cobalt Box allows a reasonable period to do so. No such period is required in the event of danger, illegality, fraud, repeated serious breaches, urgency or where performance is permanently impossible.
17.3 Cobalt Box may require additional security or advance payment where there are objective indications of inability to pay or serious credit risk. Objective indications include attachment of assets, a bankruptcy petition, suspension of payments, dissolution of the legal entity, indications of fraud or repeated non-payment.
17.4 Any measure must be reasonable and proportionate to the breach, including in relation to Consumers.
Article 18 - Termination by Cobalt Box
18.1 Cobalt Box may terminate the Agreement by giving the applicable contractual notice.
18.2 Cobalt Box may dissolve or terminate all or part of the Agreement in the event of a serious breach, prohibited use, danger, fraud, repeated non-payment or insolvency, in accordance with the law and allowing a reasonable period to remedy the breach where required.
18.3 After termination, all amounts, damages and costs due up to the end date remain payable. Use after the end date entitles Cobalt Box to compensation for use equal to at least the applicable rent, without a new rental agreement arising.
Article 19 - End of the Agreement, goods left behind, retention and sale
19.1 No later than the end date, the Customer hands over the Storage Space completely empty, swept clean, free from damage except for normal wear and tear, and unlocked. All access credentials are returned or deactivated.
19.2 Goods left behind after the end date do not automatically become the property of Cobalt Box. Cobalt Box may inventory, move and store them elsewhere at the Customer’s expense and risk.
19.3 To the extent permitted by law, Cobalt Box exercises a right of retention over Goods lawfully in its possession until claims that are due and reasonable costs have been paid.
19.4 If the Customer remains in default after written notice of default and a final reasonable period, Cobalt Box may sell the Goods through an auction platform, auction house, private sale or another reasonable method of sale. Cobalt Box may engage an expert for this purpose and open the Storage Space.
19.5 Goods that are clearly worthless, dangerous, perishable or unsaleable, or whose expected proceeds do not cover storage, transport, valuation and sale costs, may be removed, recycled or destroyed following a documented assessment.
19.6 Sale proceeds are applied to reasonable valuation, storage, transport, clearance and sale costs and then to claims that are due. Any demonstrable positive balance is held for the Customer and paid out after verification. Any shortfall remains payable.
19.7 To the extent legally valid, the Customer authorises Cobalt Box to perform the acts reasonably necessary for the above purposes. Cobalt Box acts with due care and keeps records of notices, inventories, valuations, sales and settlement of accounts.
Article 20 - Privacy, CCTV and electronic communications
20.1 Cobalt Box processes personal data for performance of the contract, access management, security, customer service, payment, debt collection, legal obligations and legitimate business interests, as detailed in the privacy policy.
20.2 The Facility may be secured using cameras and access logs. Cobalt Box processes this data in accordance with the GDPR, retention periods and the privacy policy.
20.3 The Customer agrees that contractual communications, invoices, reminders, price changes and notices may be sent electronically to the most recently provided contact details, to the extent permitted by law.
20.4 The Customer keeps their contact details up to date. A message correctly sent to the most recently provided details is deemed received in accordance with the applicable statutory rules.
20.5 Cobalt Box provides data to authorities, debt collection parties, IT, access, payment, insurance and other service providers where there is a valid legal basis for doing so.
Article 21 - Transfer of the Agreement
21.1 The Customer may not transfer the Agreement or the right of use without Cobalt Box’s prior written consent.
21.2 Cobalt Box may assign its claims. Cobalt Box may transfer the Agreement to a group company or successor operator, preserving the Customer’s rights and obtaining cooperation or giving prior notice where required.
21.3 Where there is more than one Customer, they are jointly and severally liable for all obligations, to the extent permitted by law.
Article 22 - Force majeure
22.1 Cobalt Box is not liable for a failure to perform caused by circumstances beyond its reasonable control, including fire, flooding, extreme weather, power or network failure, a cyber incident, government measures, a strike, war, an epidemic, terrorism or failure of essential suppliers.
22.2 Cobalt Box takes reasonable measures to limit the consequences. If force majeure continues for so long that continuation cannot reasonably be required, the parties may terminate the unperformed part of the Agreement without compensation.
Article 23 - Complaints
23.1 Complaints are reported in writing or electronically as soon as possible after discovery, with sufficient information and evidence to investigate the complaint.
23.2 Cobalt Box acknowledges the complaint and responds within a reasonable period. A complaint does not automatically suspend the payment obligation.
23.3 A Consumer retains all statutory rights and may, where applicable, refer the matter to a competent dispute resolution body or the competent court.
Article 24 - Applicable law and competent court
24.1 The Agreement is governed by Dutch law.
24.2 Disputes are submitted to the Dutch court having jurisdiction under the law. A Consumer is not deprived of the protection of mandatory law or of the court having jurisdiction under mandatory jurisdiction rules.
24.3 For Business Customers, to the extent legally valid, the court in the district where the relevant Facility is located or where Cobalt Box has its registered office has jurisdiction, at Cobalt Box’s choice.
Article 25 - Amendments and final provisions
25.1 Cobalt Box may amend these terms and conditions due to legislation, case law, safety, technology, business operations or changes to services. Material amendments are notified individually in advance.
25.2 For Consumers, a material adverse amendment takes effect no earlier than thirty days after notification. The Consumer may give notice of termination before the effective date if the amendment is not solely technical, legally required or clearly to their benefit.
25.3 For Business Customers, amended terms and conditions apply from the announced date. Continued use constitutes acceptance, without prejudice to timely contractual termination by notice.
25.4 If a provision is invalid or voidable, the remaining provisions continue to apply. Where possible, the parties replace the relevant provision with a valid provision that most closely reflects its purpose and intent, without circumventing mandatory law.
25.5 Failure to exercise a right immediately does not constitute a waiver of that right.
25.6 The Dutch text prevails unless mandatory law provides otherwise.
